PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR SITE OR PURCHASING OUR SERVICES

WHAT'S IN THESE TERMS?

These terms tell you the rules for using our website arcadedb.com (our site) and for purchasing and using our paid products and services, including the Studio AI Assistant and our Silver, Gold, and Platinum support plans.

arcadedb.com is a site operated by Arcade Data Ltd ("We"). We are registered in England and Wales under company number 10981105 and have our registered office at 34 St. James's Street, London, SW1A 1HD, United Kingdom. We are a limited company. To contact us, please email [email protected].

BY USING OUR SITE OR SERVICES YOU ACCEPT THESE TERMS

By using our site or purchasing any of our products or services, you confirm that you accept these terms of service and that you agree to comply with them. If you do not agree to these terms, you must not use our site or purchase our services. We recommend that you print a copy of these terms for future reference.

THERE ARE OTHER TERMS THAT MAY APPLY TO YOU

These terms of service refer to the following additional terms, which also apply to your use of our site and services:

  • Our Privacy Policy, which sets out how we may use your personal information.
  • Our Service Level Agreement (SLA), which defines support response times, severity levels, coverage hours, and service commitments for Silver, Gold, and Platinum support plans.

OUR PRODUCTS AND SERVICES

We offer the following paid products and services:

  • Studio AI Assistant — an AI-powered copilot for ArcadeDB Studio that provides natural-language query assistance, schema exploration, query optimization suggestions, and context-aware documentation. Available as a standalone monthly or yearly subscription.
  • Silver Support — professional production support with guaranteed response times during business hours, priority issue queue, email support, and 1 Studio AI Assistant license included. Priced per server per month or per year.
  • Gold Support — mission-critical support with faster response times, extended coverage hours (8am–8pm CET), guaranteed backport patches, escalation management, quarterly review calls, and 1 Studio AI Assistant license included. Priced per server per month or per year.
  • Platinum Support — enterprise-grade 24/7/365 support for critical issues, dedicated technical account manager, guaranteed root-cause analysis, annual architecture & performance audit, and 1 Studio AI Assistant license included. Priced per server per month or per year.

SUBSCRIPTIONS AND BILLING

Paid products and services are offered as recurring subscriptions billed either monthly or yearly, as selected at the time of purchase. All prices are in USD and subject to applicable taxes.

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period — you will continue to have access to the service until that date.

We reserve the right to change our pricing at any time. If you have an active subscription, we will notify you at least 30 days before any price increase takes effect. The new price will apply from your next renewal date after the notice period.

NO REFUNDS

All purchases are final and non-refundable. By subscribing to any of our paid products or services, you acknowledge and agree that:

  • No refunds will be issued for any subscription fees already paid, whether for partial or full billing periods.
  • No refunds will be issued if you choose to cancel your subscription before the end of a billing period.
  • No refunds will be issued for downgrades from a higher-tier plan to a lower-tier plan.
  • No prorated refunds or credits will be provided for unused portions of a subscription.

If you believe there has been a billing error, please contact us at [email protected] within 7 days of the charge and we will investigate the matter.

SERVICE LEVEL AGREEMENT

Customers with active Silver, Gold, or Platinum support subscriptions are covered by our Service Level Agreement (SLA), which defines issue severity levels, guaranteed response times, coverage hours, and additional terms. The SLA forms part of these Terms of Service for support plan subscribers.

WE MAY MAKE CHANGES TO THESE TERMS

We amend these terms from time to time. Every time you wish to use our site or services, please check these terms to ensure you understand the terms that apply at that time. For customers with active paid subscriptions, we will notify you of material changes at least 30 days in advance.

WE MAY MAKE CHANGES TO OUR SITE AND SERVICES

We may update and change our site and services from time to time to reflect changes to our products, our users' needs, and our business priorities. We will endeavour to give reasonable notice of significant changes to paid services.

WE MAY SUSPEND OR WITHDRAW OUR SITE OR SERVICES

Our site is made available free of charge. We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our site for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

For paid services, we may suspend or terminate your access if you fail to pay subscription fees when due, or if you breach these terms. We will notify you before taking such action except in cases of serious or repeated breach.

You are also responsible for ensuring that all persons who access our site or services through your account are aware of these terms of service and other applicable terms and conditions, and that they comply with them.

WE MAY TRANSFER THIS AGREEMENT TO SOMEONE ELSE

We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.

YOU MUST KEEP YOUR ACCOUNT DETAILS SAFE

If you choose, or you are provided with, a user identification code, password, licence key, or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

Licence keys and subscriptions are non-transferable unless we agree otherwise in writing. Each Studio AI Assistant licence is for use by a single user or on a single ArcadeDB instance. Support plans are licensed per server as defined in our SLA.

We have the right to disable any user identification code, password, or licence key, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of service.

If you know or suspect that anyone other than you knows your user identification code, password, or licence key, you must promptly notify us at [email protected].

HOW YOU MAY USE MATERIAL ON OUR SITE

We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. You may print off one copy, and may download extracts, of any page(s) from our site for your personal use and you may draw the attention of others within your organisation to content posted on our site. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text. Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged.

You must not use any part of the content on our site for commercial purposes without obtaining a licence to do so from us or our licensors.

If you print off, copy or download any part of our site in breach of these terms of service, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

HOW TO COMPLAIN ABOUT CONTENT UPLOADED BY OTHER USERS

OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU

Whether you are a consumer or a business user:

  1. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
  2. Different limitations and exclusions of liability will apply to liability arising as a result of the supply of any services to you, which will be set out in the applicable service terms or SLA.

If you are a business user:

  1. We exclude all implied conditions, warranties, representations or other terms that may apply to our site, services, or any content on it.
  2. We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
    1. use of, or inability to use, our site or services; or
    2. use of or reliance on any content displayed on our site.
  3. In particular, we will not be liable for:
    1. loss of profits, sales, business, or revenue;
    2. business interruption;
    3. loss of anticipated savings;
    4. loss of business opportunity, goodwill or reputation; or

However, we will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.

We will only use your personal information as set out in our Privacy Policy.

UPLOADING CONTENT TO OUR SITE

Whenever you make use of a feature that allows you to upload content to our site, or to make contact with other users of our site, you must comply with the applicable content standards.

When you upload or post content to our site, you grant us and other users of the site the rights to use that content as set out in the applicable terms of service.

WE ARE NOT RESPONSIBLE FOR VIRUSES AND YOU MUST NOT INTRODUCE THEM

We do not guarantee that our site will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programmes and platform to access our site. You should use your own virus protection software.

You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. WHICH COUNTRY'S LAWS APPLY TO ANY DISPUTES?

If you are a consumer, please note that these terms of service, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

If you are a business, these terms of service, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
